What does this Privacy Policy cover?

iMemories Inc. (“iMemories”, or “we”, “us”, or “our” as appropriate) is committed to commercially reasonable measures aimed at safeguarding the privacy of visitors to our websites and users of our services. Unless we notify you otherwise in connection with a particular activity, this Privacy Policy explains how we collect and use information you provide us when you do business with us or interact with us, including (without limitation) communications in email and other electronic messaging, through https://www.imemories.com or any of our other websites, mobile applications, platforms and services that link to this Policy (each, an “iMemories Site”) and the choices you can make about the collection and use of your information. This Privacy Policy also addresses how we maintain and protect the privacy of the home videos and photos you submit to iMemories to be digitized, preserved, hosted and delivered to you.

This Policy does not apply to information collected on any website operated by any third party; or any third party, including through any application or content that may link to or be accessible from or on an iMemories Site.

Please read this Privacy Policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, your choice is not to use our website or service. By accessing or using our website or service, you agree to this Privacy Policy.

This Privacy Policy may change from time to time. Your continued use after we make changes is deemed to be acceptance of those changes, so please check the policy periodically for updates.

What information do we collect about you and how do we collect it?

We may collect several types of information from and about users of an iMemories Site, including:

• Information by which you may be personally identified, such as a name, physical address, or email (“Personal Information”). We collect this information directly when you provide it to us, or if provided to us by other users;
• Information that is about you but does not identify you individually; and
• Information about your internet connection, the equipment you use to access an iMemories Site, and usage details. We collect this information automatically as you navigate through an iMemories Site, and from third parties, such as our business partners. Information You Provide to Us.

We collect Personal Information and other information from you when you provide it directly to us, such as when you mail or upload your home videos and photos to iMemories, register for an account, use an iMemories Site, place an order for products, subscribe to a service, contact our customer service representatives, or respond to a survey or enter a contest or sweepstakes that we administer. This information may include some or all of the following:

• Your name
• Your physical address
• Your email address
• Your telephone number(s)
• Credit card and other payment information
• Survey responses;
• Any other identifier by which you may be contacted online or offline; and
• Your home videos, photos and other content that you send to iMemories and/or upload to the iMemories Site (“Your Content”).

Please be aware that, in order to provide quality products, the iMemories employees and agents who work to digitize Your Content, fulfill your order or provide you with customer support may see your home videos and photos in the course of performing their jobs.

You may provide third parties with access to Your Content on the iMemories Sites. You post and/or transmit Your Content to others at your own risk. Although you may set certain privacy settings for which third parties may view Your Content, please be aware that no security measures are perfect or impenetrable. Additionally, we cannot control the actions of other users of the iMemories Site with whom you may choose to share Your Content. Therefore, we cannot and do not guarantee that Your Content will not be viewed by unauthorized persons.

Information You Provide About Others

If you choose to share Your Content with someone else through an iMemories Site feature, we will use the Personal Information you provide (for example the e-mail address of the recipient) to fulfill your request and for other purposes described in this Privacy Policy. Similarly, Your Content may include Personal Information of other individuals (e.g., third parties appearing in photos, videos or other content you submit).

If you submit Personal Information of a third party, it is your responsibility to obtain the individual’s consent beforehand (to the extent required by law). You are prohibited from sharing content with us that would violate our Terms of Use, or applicable laws (including third party rights of publicity or privacy).

Information from Social Networking and Third Party Services

An iMemories Site may allow you to interact with or through social networking services such as Facebook, Twitter and Instagram (“Social Features”). Examples of Social Features include enabling you to “like” or “share” content or to log into an iMemories Site using your username and password for the third-party social network. If you choose to connect your iMemories account with a third-party social network, the social network may share information about you with us such as your public profile, e-mail address and friend list. If you choose to “like” or share content, information about you may be publicly displayed on the social network. You should review the privacy policy of that third-party social network and check your privacy settings through that social network.

If you post information on a social networking or other third-party service that references iMemories or its products or services (e.g., via a Twitter hashtag), we may publish your post on an iMemories Site.

Information from Automatic Data Collection Technologies

As you navigate through and interact with an iMemories Site, we may use automatic data collection technologies to collect certain technical information from your computer or mobile device over time and across different websites, such as what type of browser you are using, the website from which you enter the iMemories Site, and the pages and content you view and/or select as you tour our site (the “Technical Data”).

Technical Data may include Personal Information, or we may maintain it or associate it with Personal Information we collect in other ways or receive from third parties. Technical Data helps us to improve the iMemories Site and to deliver a better and more personalized service, including by enabling us to estimate audience size and usage patterns, store information about your preferences to allow for iMemories Site customization, speed up your searches, and recognize you when you return to an iMemories Site. We and our service providers use Technical Data in connection with iMemories marketing programs and to improve our website design and content.

The technologies we use for this automatic data collection may include:

• Cookies (or browser cookies). A cookie is a small file placed on the hard drive of your computer. You may refuse to accept browser cookies by activating the appropriate setting on your browser, or using the options provided in our cookie banner. However, if you select this setting you may be unable to access certain parts of our Website. • Web Beacons. Pages of an iMemories Site and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit us to count users who have visited those pages or opened an email and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).

How does iMemories use the information it collects about you?

We responsibly limit the use and disclosure of your information. We may use your information for the following purposes:

• We use Your Content to provide you with our digital restoration, sharing, streaming and related services;
• We use Technical Data to present an iMemories Site and its contents to you;
• We use contact information to provide you with information, products or services or benefits that may be of interest to you;
• We may also use any information collected about you through the iMemories Sites:
• to fulfill any other purpose for which you provide it;
• to develop and improve our products and services and improve the content of our sites;
• to protect the security or integrity of our databases or website, to take precautions against liability, and to detect and remediate violations of our Terms of Service or other misuse of the iMemories Site;
• to carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection; and
• to fulfil other purposes as permitted or required by law.

Your Content remains your property. iMemories will only use Your Content as described in this Privacy Policy.

How does iMemories share the information it collects about you?

iMemories does not sell your Personal Information with unaffiliated third parties for their marketing purposes. We may disclose aggregated, non-identifiable information about our users, without restriction in accordance with applicable law.

We may share your Personal Information with our corporate affiliates for the purposes described in this Policy. If you redeem an offer or order products and services from iMemories in connection with a co-branded promotion we conduct in partnership with another retailer, we may share the information you provide at that time with our retail partner. In such cases, the retail partner’s use of your information will be governed by that company’s privacy policy, not this policy.

We may also share your Personal Information with third parties who provide support services, in the following manner:

• We share your shipping and product information with shipping providers to help us fulfill customer orders;
• We share payment card data with payment processors, to help us process your payments.
• We do not retain payment card data ourselves.

These third parties are authorized to use the Personal Information solely in conjunction with the specific service they provide to or on behalf of iMemories.

We may also share Technical Data with our third-party marketing or data analytics providers as described at Automatic Data Collection Technologies above.

We may also disclose your Personal Information, including Your Content: (1) to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of iMemories' assets and any preliminary negotiations and diligence thereto, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Information held by us about our users is among the assets transferred; (2) to comply with any court order, law, or legal process, including to respond to any government or regulatory request; (3) to enforce or apply our Terms of Service and other agreements, including for billing and collection purposes; or (4) if we believe disclosure is necessary or appropriate to protect the rights, property, or safety of iMemories, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection.

We never use, share, sell or rent the Personal Information provided to us online in ways unrelated to the ones described in this Privacy Policy without also providing you an opportunity to opt-out or otherwise prohibit such unrelated uses.

Transfers Across Borders

Our headquarters are located in the United States and we collect and store Personal Information in the United States. Some of our service providers or affiliates may store or process data in other countries, subject to risk assessments required by law. Accordingly, your Personal Information may be transferred outside of your country, and may be accessible to courts, law enforcement and national security entities in such countries.

How does iMemories protect and retain the privacy of your information, including your videos and photos?

The security of your Personal Information is important to us. We have implemented an information security program that contains administrative, technical and physical controls that are designed to reasonably safeguard Personal Information. These safeguards include firewalls and the use of Transport Layer Security (TLS) to encrypt pages when collecting or transmitting sensitive information such as your password or credit card information. The safety and security of your information also depends on you. We urge you to be careful about giving out information in any public areas of an iMemories Site. Although we do our best to protect your Personal Information, unfortunately, the transmission of information via the internet is not completely secure. We cannot guarantee the security of your Personal Information transmitted to an iMemories Site. Any transmission of Personal Information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on an iMemories Site.

We will never make Your Content publicly accessible, except as directed by you or as otherwise noted in this Privacy Policy.

iMemories is designed so that you can control who may view Your Content. Sharing your home videos and/or photos electronically through iMemories is one of the key benefits we offer. Please note that if you choose to post a link to your iMemories home videos and photos on your own or others' websites, or if you share your photos with your friends or family members and they post your share invitation on a website or forward to other individuals, these home videos and photos may be made accessible to others who view the e-mail invitation or visit these websites. Be sure to make your wishes known to those you share Your Content with.

When your Personal Information is no longer required for the purposes set out in this policy, we delete it or anonymize it according to our retention guidelines (subject to record-keeping and other legal or business requirements).

What choices do you have?

The goal of our marketing and promotional efforts is to inform you about our products and services, including special promotions, that may be of interest to you. We may use your contact information to inform you of offers. However, if you are contacted and do not wish to receive further marketing communications, use the means by which you were contacted to let us know. If contacted by postal mail, return the mail to the sender. If contacted by e-mail, reply to the e-mail sender or use the unsubscribe mechanism within the email. You may also unsubscribe to certain types of notifications through your account “Profile” settings on the iMemories Site.

We will act promptly to honor your request and remove your name from the sender's marketing list. However, even if we remove your name from use in marketing programs, you may still receive communications from the sender for non-marketing purposes, for example in connection with a pending order or customer service issue.

There may be times when we are unable to fulfill your request - for example, if providing access to your Personal Information would reveal confidential commercial or proprietary information or Personal Information about someone else (and we cannot separate your data), if we are prohibited by law from disclosing the information or if we have a legal obligation to retain certain data. We may require additional Personal Information from you for the purposes of verifying your identity and rights.

Depending on your jurisdiction, you may also have other privacy rights, including the right to withdraw consent to the continued use or disclosure of your Personal Information (subject to reasonable notice, and other legal and contractual restrictions in accordance with applicable laws). Exporting your moments:

Looking to back up or share your videos and photos outside of iMemories? You have two options:

• Download: Navigate to 'Albums' and tap select on the upper right menu. Select the Albums you want to download and then tap "Download" to export all your content right to your device.
• USB Drive: For a more tangible backup, head to 'USB Drive', select all your desired albums, and order a USB hard drive containing all of your memorable moments.

Managing Your Account and Memories:

Your memories are important, and so is your privacy. If you ever decide you want to erase your traces:

• Selective Removal: You can choose specific videos and photos to remove from your Albums.
• Full Account Deletion: If you decide to bid farewell to iMemories, email us at privacy@imemories.com to request account deletion. Your videos, photos, and account details will be erased. Your moments, your control, always with iMemories.

Other Information about this Policy

Children

The iMemories Site is not intended for children under 18 years of age. The Children's Online Privacy Protection Act protects the online privacy of children under 13 years of age. California residents under 16 years of age may have additional rights regarding their information. We do not knowingly collect or maintain personally identifying information from anyone under the age of 16. If you are under 16, do not use or provide any information on any iMemories Site or through any of its features or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or username you may use. If we learn we have collected or received Personal Information from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us at 9160 E. No Control of Third Party Sites

Please be aware that websites that link to the iMemories Site, or which the iMemories Site links to, may collect Personal Information about you. You should consult the other sites' privacy policies as we have no control over information that is submitted to, or collected by, these third parties.

Policy Updates

By using the iMemories Site, you consent to our use of your information as described in this Privacy Policy. As we implement new technology and introduce new services, or in response to changes in applicable laws or regulations, we will update this Policy, so we encourage you to review it often. We reserve the right to change this Privacy Policy at any time without advance notice, subject to legal requirements. We will identify an updated version of this Policy with a revised effective date.
